Terms of Use

These Terms of Use (“Terms”) govern your purchase, download, and use of the website templates and the free UI kit (together, the “Products”) offered on Shinwa Templates, operated by Shinwa Creative (Shinwa Creative Inc., Japan). By purchasing or downloading a Product, you agree to these Terms.

1. License for paid templates

When you purchase a template, we grant you a non-exclusive, worldwide, perpetual license to:

  • use the template in an unlimited number of your own personal and commercial projects, including projects you build and deliver for your clients;
  • modify, extend, and adapt the code however you like; and
  • deploy the resulting websites for yourself or your clients.

You may not:

  • resell, sublicense, or redistribute the template itself (original or modified) as a template, theme, starter kit, or similar product — whether for a fee or for free;
  • share your download with others or make the source files publicly available in a way that lets third parties use the template without purchasing it.

In short: build anything you want with it; just don’t compete with us by handing the template itself to others.

2. License for the free UI kit

The free UI kit is provided under an MIT-style license: you may use, copy, modify, and include it in any personal or commercial project, with or without attribution. The only restriction is that you may not resell or redistribute the kit itself as a standalone product.

3. Delivery

Products are delivered digitally. After your payment is completed through Stripe, a download URL is shown to you immediately. See our Refund Policy for how refunds are handled.

4. Disclaimer of warranties

The Products are provided “as is” and “as available”, without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. Using the templates requires basic knowledge of editing code (Node.js 18+ and a modern browser are assumed); we do not guarantee that the Products will meet your requirements or work in every environment.

5. Limitation of liability

To the maximum extent permitted by applicable law, Shinwa Creative shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the Products. Our total liability for any claim shall not exceed the amount you paid for the Product concerned.

6. Governing law

These Terms are governed by the laws of Japan. Japanese consumer protection rules that apply to you remain unaffected. Our legal disclosure under the Japanese Act on Specified Commercial Transactions is available (in Japanese) at 特定商取引法に基づく表記.
